Associate Attorney – Capital Markets – Securities – New York

About the Role:

The firm is seeking a Midlevel Associate (2–5 years’ experience) to join its Capital Markets & Securities practice group. This hybrid role (three days in-office per week) is based in the firm’s Manhattan office and will focus on public and private offerings, SEC compliance, and general corporate governance matters.

What You’ll Do:

• Advise clients on public offerings (IPOs, secondary offerings, SPACs), private placements, PIPEs, and other capital markets transactions
• Draft and negotiate transaction documents, including registration statements, purchase agreements, and corporate governance policies
• Counsel public companies on compliance with the Exchange Act, NYSE/Nasdaq requirements, and SEC rules
• Assist in new entity formation and structuring of charters, bylaws, and other organizational agreements
• Coordinate with issuers, underwriters, investment banks, and other stakeholders to manage the execution of complex transactions
• Conduct diligence and review SEC filings and other disclosure documents

What We’re Looking For:

• 2–5 years of capital markets and securities law experience at a law firm or comparable in-house role (prior SPAC experience is a plus)
• Active membership in good standing with the New York Bar
• Strong academic credentials
• Proven drafting, analytical, and communication skills
• Ability to manage multiple transactions and collaborate effectively across teams
